Agreement to Terms

These Terms and Conditions constitute a legally binding agreement made between you and Scryptco LTD, doing business as StudioFlow ("we," "us," or "our"), concerning your use of our website studio-flow.co and creative services (collectively, the "Services").

You agree that by accessing the Site and/or Services, you have read, understood, and agree to be bound by all of these Terms and Conditions.

Services

StudioFlow provides static and motion ad creative services for online businesses running ads. By engaging our services, you agree to:

• Provide accurate and complete information about your business needs

• Cooperate with us in the creative process

• Pay all fees when due

• Use the delivered creatives in accordance with the agreed terms

Intellectual Property Rights

Your Content

You retain ownership of any intellectual property rights that you hold in content you submit to us. By submitting content to us, you grant us a worldwide, royalty-free license to use, reproduce, distribute, and display such content in connection with providing the Services.

Our Content

All content created by StudioFlow remains our property until final payment is received and the work is delivered. Upon delivery and full payment, you receive a non-exclusive, worldwide license to use the deliverables for their intended purpose.

User Representations

By using the Site and Services, you represent and warrant that:

You are at least 18 years of age

You have the legal capacity to enter into these Terms

You will not access the Site through automated or non-human means

You will not use the Site for any illegal or unauthorized purpose

Your use of the Site will not violate any applicable law or regulation

Payment Terms

Payment terms will be specified in your service agreement. Unless otherwise agreed in writing:

All fees are quoted in the applicable currency and are non-refundable

Payment is required according to the terms specified in your quote or invoice

Late payments may result in work stoppage and late fees

Limitation of Liability

To the maximum extent permitted by law, in no event shall StudioFlow be liable for any indirect, punitive, incidental, special, consequential, or exemplary damages, including without limitation damages for loss of profits, goodwill, use, data, or other intangible losses.

Termination

We may terminate or suspend your access to our Services immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms.

Governing Law

These Terms shall be governed by and defined following the laws of the United Kingdom. Scryptco LTD and yourself irrevocably consent that the courts of the United Kingdom shall have exclusive jurisdiction to resolve any dispute which may arise in connection with these terms.

Changes to Terms

We reserve the right to modify these terms at any time. We will notify users of any changes by updating the "Last updated" date of these terms and you waive any right to receive specific notice of each such change.
